Welcome to PRIZES FOR LIFE ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the PRIZES FOR LIFE platform, including our website, mobile applications, and all related services (collectively, the "Platform").

PRIZES FOR LIFE is a skill-based esports competition platform that allows users to participate in tournaments, place bets on skill-based outcomes, and win prizes based on their performance and predictions.

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

Throughout these Terms, the following definitions apply:

• "User" refers to any individual who accesses or uses the Platform.
• "Account" refers to a registered user profile on the Platform.
• "Content" refers to any information, text, graphics, photos, videos, or other materials uploaded, downloaded, or appearing on the Platform.
• "Tickets" refers to the virtual currency used on the Platform for entering competitions and placing bets.
• "Competition" refers to any tournament, match, or event hosted on the Platform.
• "Bet" refers to a prediction made on the outcome of a skill-based competition.
• "Prize" refers to any reward, whether monetary or otherwise, awarded to users for winning competitions or successful bets.

By creating an account, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and PRIZES FOR LIFE. If you do not agree to these Terms, you must not access or use our Platform.

We may update these Terms from time to time. Your continued use of the Platform after any changes indicates your acceptance of the updated Terms.

Age Restriction: You must be at least 18 years of age to access or use our Platform. By accessing or using the Platform, you represent and warrant that you are at least 18 years old. We reserve the right to request proof of age at any time, and to suspend or terminate your account if we have reason to believe you are under 18 years of age.

Geographical Restrictions: The Platform is not available in all regions. Access to and use of the Platform may be restricted in certain jurisdictions where skill-based competitions with prizes are prohibited or restricted by law. By accessing or using the Platform, you represent and warrant that you are not located in a region where such activities are prohibited or restricted.

Legal Capacity: You must have the legal capacity to enter into a binding contract with PRIZES FOR LIFE. If you are accessing or using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Employee Restrictions: Employees, contractors, directors, and officers of PRIZES FOR LIFE, as well as their immediate family members, are not eligible to participate in competitions or place bets on the Platform.

Account Creation: To access certain features of the Platform, you must create an account. When creating an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

One Account Per Person: You may only create and maintain one account. Creating or using multiple accounts is prohibited and may result in the termination of all your accounts.

Account Security: You are responsible for maintaining the security of your account and password. PRIZES FOR LIFE cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Identity Verification: We may require you to verify your identity before you can withdraw winnings or participate in certain competitions. This may include providing government-issued identification, proof of address, and other documentation. Failure to complete the verification process when requested may result in the suspension or termination of your account.

Account Termination: We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Platform will immediately cease.

Fair Play: All users must adhere to principles of fair play. Any form of cheating, exploitation of bugs or glitches, or other unfair advantages is strictly prohibited.

Skill-Based Platform: PRIZES FOR LIFE is a skill-based competition platform. We do not offer gambling services or games of chance. All competitions are based on skill, strategy, and verified gameplay data.

Game Rules: Each competition on the Platform has specific rules that govern participation, scoring, and prize distribution. You are responsible for reading and understanding the rules of any competition before participating.

Conduct: You must treat all users with respect. Harassment, abuse, or any form of discriminatory behavior is not tolerated on the Platform.

Communication: Any communication on the Platform, including chat messages, forum posts, and user profiles, must comply with our content guidelines. Offensive, threatening, or inappropriate content is prohibited.

Technical Integrity: You must not use any software, device, or method to interfere with the proper functioning of the Platform. This includes but is not limited to bots, scripts, or other automated tools.

You agree not to engage in any of the following prohibited activities:

• Using the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Harassing, threatening, or intimidating other users.
• Posting or transmitting any content that is abusive, offensive, or otherwise violates our content guidelines.
• Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Attempting to circumvent any security measures or access controls implemented on the Platform.
• Using bots, scripts, or other automated tools to access or interact with the Platform.
• Engaging in any form of cheating, including but not limited to match-fixing, collusion, or the use of unauthorized third-party software.
• Selling, trading, or transferring your account to another person without our express written consent.
• Using the Platform to promote or advertise products or services without our express written consent.
• Engaging in any activity that disrupts or interferes with the proper functioning of the Platform.

Violation of any of these prohibitions may result in the suspension or termination of your account, forfeiture of any prizes or tickets, and potential legal action.

Platform Content: All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of PRIZES FOR LIFE or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws.

Trademarks: PRIZES FOR LIFE, the PRIZES FOR LIFE logo, and all other PRIZES FOR LIFE trademarks, service marks, product names, and trade names of PRIZES FOR LIFE appearing on the Platform are owned by PRIZES FOR LIFE. All other trademarks, service marks, product names, and logos appearing on the Platform are the property of their respective owners.

License: Subject to your compliance with these Terms, PRIZES FOR LIFE grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Platform or its content, nor may you reverse engineer or attempt to extract the source code of the software, unless you have our written permission or such restrictions are prohibited by law.

Content Ownership: You retain ownership of any content you submit, post, or display on or through the Platform ("User Content"). By submitting, posting, or displaying User Content on or through the Platform, you grant PRIZES FOR LIFE a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods.

Content Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to post your User Content, and that your User Content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.

Content Guidelines: User Content must comply with our content guidelines. We prohibit content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Content Removal: We reserve the right to remove any User Content that violates these Terms or our content guidelines, or that we find objectionable for any reason, without prior notice.

Payment Methods: We accept various payment methods for deposits, including credit cards, debit cards, and other electronic payment methods. All payment information is processed securely through our payment processors.

Fees: We may charge fees for certain services, such as deposits, withdrawals, or participation in certain competitions. All fees will be clearly disclosed before you complete the transaction.

Currency: All transactions on the Platform are conducted in the currency specified on the payment page. If your payment method is denominated in a different currency, your payment provider may convert the amount at their exchange rate and may charge additional fees.

Deposits: When you make a deposit, the funds will be credited to your account after the payment has been confirmed. The minimum and maximum deposit amounts are specified on the deposit page.

Withdrawals: You may withdraw available funds from your account at any time, subject to our withdrawal policies. Withdrawals may be subject to verification checks, processing times, and minimum withdrawal amounts.

Taxes: You are responsible for paying all taxes associated with your use of the Platform, including taxes on prizes or winnings. We may be required to withhold taxes from your winnings in certain jurisdictions.

Tickets: Tickets are a virtual currency used on the Platform for entering competitions and placing bets. Tickets have no cash value and cannot be exchanged for cash except as expressly provided in these Terms.

Acquiring Tickets: You can acquire tickets by purchasing them with real money, winning them in competitions, or receiving them as part of promotions or bonuses.

Using Tickets: Tickets can be used to enter competitions, place bets, or for other activities as specified on the Platform. Once tickets are used, they cannot be refunded or returned.

Ticket Expiration: Tickets may expire after a certain period of inactivity or as specified in promotional terms. We will notify you before any tickets expire.

Ticket Transfers: Tickets cannot be transferred to other users unless explicitly allowed by a specific feature on the Platform.

General Policy: All purchases on the Platform are final and non-refundable, except as required by applicable law or as expressly provided in these Terms.

Technical Issues: If a competition or bet is canceled or significantly disrupted due to technical issues on our part, we may refund the tickets used to enter the competition or place the bet.

Disputed Transactions: If you believe that your account has been charged incorrectly, please contact our support team within 30 days of the transaction. We will investigate the issue and may issue a refund if we determine that an error occurred.

Unauthorized Transactions: If you believe that an unauthorized transaction has been made using your account, please contact our support team immediately. We will investigate the issue and may issue a refund if we determine that the transaction was unauthorized.

Refund Process: Refunds will be processed using the same payment method used for the original transaction, unless otherwise specified. Refunds may take up to 30 days to process, depending on your payment provider.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

We may use cookies and similar technologies to enhance your experience on the Platform. You can manage your cookie preferences through your browser settings.

We may share your information with third parties in certain circumstances, such as with service providers who help us operate the Platform, or when required by law. Please refer to our Privacy Policy for more details.

Disclaimer of Warranties: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIZES FOR LIFE, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.

Cap on Liability: IN NO EVENT WILL PRIZES FOR LIFE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT PAID BY YOU TO PRIZES FOR LIFE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO SUCH PAYMENT HAS BEEN MADE.

Exclusions: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless PRIZES FOR LIFE, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your violation of these Terms;
• Your User Content;
• Your use of the Platform; or
• Your violation of any rights of another person or entity.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Informal Resolution: Before filing a claim against PRIZES FOR LIFE, you agree to try to resolve the dispute informally by contacting us. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or PRIZES FOR LIFE may bring a formal proceeding.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by binding arbitration in accordance with the JAMS International Arbitration Rules. The tribunal will consist of a sole arbitrator. The place of arbitration will be Sydney, Australia. The language to be used in the arbitral proceedings will be English.

Class Action Waiver: YOU AND PRIZES FOR LIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Small Claims Court: Notwithstanding the foregoing, you may bring an individual action in the small claims court of your state or municipality if the action is within that court's jurisdiction and is pending only in that court.

Termination by You: You may terminate your account at any time by following the instructions on the Platform or by contacting our support team. Upon termination, you will lose access to your account and any unused tickets or pending bets.

Termination by Us: We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms. Upon termination, you will lose access to your account and any unused tickets or pending bets.

Effect of Termination: Upon termination of your account, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Funds Withdrawal: If your account has a positive balance at the time of termination, you may be entitled to withdraw those funds, subject to our withdrawal policies and any applicable fees. We reserve the right to withhold funds if we believe you have violated these Terms or engaged in fraudulent activity.

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Platform prior to the effective date of the changes. Your continued use of the Platform after the effective date of the changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed about our practices. If you do not agree to the updated Terms, you must stop using the Platform.

These Terms and any dispute arising out of or related to these Terms or your use of the Platform will be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
